Terms of Service

These Terms of Service ("Terms") govern your access to and use of Image Guards, a website image risk-scanning service available at imageguards.com (the "Service"), operated by Canopy Media Corp., located at 2726 Bissonnet Street #240-151; Houston, Texas 77005 ("Image Guards," "Company," "we," "us," or "our"). By creating an account, submitting a website for scanning, purchasing a scan package, or otherwise using the Service, you ("you," "your," or "User") agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company, agency, or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization.

1. What Image Guards Does

Image Guards scans website images and image assets that you submit (by website URL or direct upload) and generates a report identifying images that may warrant further review, including but not limited to potential copyright or licensing concerns, missing documentation, duplicate images, broken images, and other image health issues such as missing alt text.

Image Guards is a risk-assessment and reporting tool. It is not a law firm, does not provide legal advice, and does not guarantee that any image is free of copyright, licensing, or intellectual property issues. Reports are intended to help you prioritize manual review, documentation, and cleanup — not to serve as a substitute for legal counsel or a definitive determination of rights. You are solely responsible for any decisions you make based on a report, including replacing, removing, licensing, or continuing to use any image.

2. Accounts and Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. Notify us promptly at imageguards@canopymedia.com. if you suspect unauthorized use of your account.

3. Your Right to Submit Content for Scanning

By submitting a website URL, uploading images, or otherwise providing content to be scanned, you represent and warrant that:

  • You own the website/images submitted, or you have obtained all necessary rights, consents, and authorization from the website or asset owner to submit that website or those images for scanning (this applies in particular to agencies, consultants, and contractors scanning a client's website);
  • Your submission does not violate any third party's rights or any applicable law, including any website terms of use governing automated access; and
  • You will not use the Service to scan websites you do not have authorization to assess.

You are solely responsible for obtaining any permissions required from a website owner before submitting that site for scanning. Image Guards is not responsible for verifying authorization and disclaims any liability arising from a submission made without proper authorization.

4. Plans, Free Preview, and Paid Packages

We offer a Free Preview (limited to one page and up to five images) and paid scan packages, each with defined image and site limits as described on imageguards.com/pricing. Package details, limits, and pricing may change at any time; the terms in effect at the time of your purchase apply to that purchase.

Features described as planned or future (for example, continuous monitoring, email alerts, license upload/documentation workflows, or agency dashboards) are not included unless and until they are made generally available and specifically included in the package you purchased.

5. Fees and Payment

Fees for paid packages are due at the time of purchase and are processed through our third-party payment processor. You authorize us (and our payment processor) to charge your provided payment method for all fees incurred. You are responsible for any applicable taxes. All fees are stated in U.S. dollars unless otherwise noted.

6. Reports; No Warranty of Accuracy or Completeness

Reports generated by the Service are provided for informational purposes only, on an "as-is" and "as-available" basis. Automated scanning cannot detect every possible risk, and results may include false positives (images flagged that are not actually problematic) and false negatives (images not flagged that may in fact carry risk). We do not guarantee that a report is complete, accurate, or that any image not flagged is free of risk. You should independently verify any finding, and consult a qualified attorney regarding copyright, licensing, or intellectual property questions specific to your situation.

7. Acceptable Use

You agree not to:

  • Use the Service to scan a website or images without proper authorization;
  • Attempt to reverse-engineer, decompile, scrape, or extract the underlying methodology, source code, or database of the Service;
  • Resell, sublicense, or provide access to the Service to third parties outside the scope of your purchased package (agencies may use Agency-tier packages to serve their own clients' websites, consistent with the package description, but may not resell direct platform access);
  • Use the Service to build a competing product;
  • Interfere with or disrupt the integrity or performance of the Service; or
  • Use the Service for any unlawful purpose.

We may suspend or terminate access for any violation of this section.

8. Intellectual Property

Your content. You retain all rights to the websites, images, and other materials you submit. Submitting content for scanning does not transfer any ownership to us. We use submitted content solely to perform the Service and as described in our Privacy Policy.

Our platform. Image Guards, including its software, scanning methodology, algorithms, report design, branding, and all related intellectual property, is owned by the Company and is protected by applicable intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Service as intended.

Reports. You may use, share, and reproduce reports generated for you for internal business purposes and, if applicable, to communicate findings to your own clients. Reports may not be resold as a standalone product or represented as generated by a tool other than Image Guards.

9. Third-Party Services

The Service may rely on third-party infrastructure, payment processing, hosting, and analytics providers. We are not responsible for the availability or performance of third-party services outside our control.

10. Disclaimers

THE SERVICE AND ANY REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SCAN WILL IDENTIFY ALL RISKS PRESENT IN YOUR IMAGES OR WEBSITE. WE ARE NOT A LAW FIRM AND DO NOT PROVIDE LEGAL ADVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON ANY REPORT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company. and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your submission of a website or images for scanning without proper authorization; (b) your violation of these Terms; or (c) your misuse of any report.

13. Term and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access at any time for violation of these Terms or for any conduct we reasonably believe is harmful to the Service or other users. You may stop using the Service at any time. Sections of these Terms that by their nature should survive termination (including Sections 6–12) will survive.

14. Deals Purchased Through Third-Party Marketplaces

If you purchased access to Image Guards through a third-party marketplace (such as AppSumo, Dealify, DealMirror, RocketHub, or Saaszilla), that marketplace's own terms and refund policy govern your purchase and refund rights for that transaction, in addition to these Terms governing your use of the Service itself.

15. Changes to the Service or These Terms

We may modify the Service or these Terms at any time. If we make material changes, we will provide notice (for example, by posting an update on imageguards.com or emailing the address on file). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of Harris County, Texas, USA, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be resolved in the courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.

17. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
